This End User License Agreement (“Agreement”) is a legally binding agreement between you (“User,” “you,” or “your”) and Textulater LLC (“Textulater,” “Company,” “we,” “us,” or “our”) governing your use of the Textulater mobile application, website, and related services (collectively, the “App” or “Service”).

By downloading, installing, accessing, or using the App, you agree to be bound by this Agreement.

If you do not agree to this Agreement, do not use the App.

This Agreement is between you and Textulater LLC only, and not Apple Inc. Apple is not responsible for the App or its content.

Subject to your compliance with this Agreement, Textulater LLC grants you a limited, non-exclusive, non-transferable, revocable license to use the App:

• solely on Apple-branded devices you own or control
• in accordance with Apple’s App Store Usage Rules
• for lawful personal or professional communication purposes

You may not:

• copy, reproduce, or distribute the App
• modify or create derivative works
• reverse engineer, decompile, or attempt to extract source code
• interfere with platform functionality or security
• use the App for unlawful or unauthorized purposes

All rights not expressly granted are reserved by Textulater LLC.

Textulater is a privacy-focused iMessage extension designed to help reduce unnecessary exposure within everyday messaging workflows.

Features may include:

• dual-layer messaging functionality
• private content embedded beneath a standard message
• biometric access protection using Face ID and Touch ID
• screenshot protection for private text messages
• smart message expiration controls
• multimedia sharing functionality
• privacy-focused communication controls integrated into the Apple iMessage environment

Textulater is intended to support more controlled communication practices but is not intended to replace:

• legal practice management systems
• enterprise compliance systems
• secure evidence management platforms
• regulated archival systems
• emergency communication services

Textulater is designed to help reduce unnecessary exposure within messaging workflows. However, no digital communication platform can guarantee complete privacy, confidentiality, or security.

By using the App, you acknowledge and agree that:

• privacy-focused features may not prevent screenshots, recordings, photography, or external capture methods
• message expiration or deletion features may not permanently remove all copies of information
• communications may remain accessible through backups, cached storage, third-party devices, or system limitations
• device compromise, account compromise, or unauthorized access may still occur

Textulater does not guarantee:

• attorney-client privilege protection
• legal confidentiality
• regulatory compliance
• HIPAA compliance
• GDPR compliance
• ABA compliance
• prevention of all data exposure or disclosure

Use of the App should be considered alongside:

• device security practices
• organizational policies
• professional obligations
• applicable laws and regulations

The App may process or store information through Apple technologies and infrastructure, including iCloud and Apple CloudKit services.

Information may be:

• temporarily cached
• stored locally on your device
• associated with your Apple account or iCloud environment
• processed as necessary for platform functionality

Textulater LLC does not control Apple infrastructure, iCloud systems, device backups, or third-party operating system behavior.

You acknowledge that:

• data may persist beyond intended deletion
• technical limitations may impact deletion functionality
• data loss, corruption, or exposure may occur
• no deletion or expiration feature can guarantee complete removal of information

Textulater does not currently require standalone account registration.

Use of the App is associated with your Apple device and/or iCloud environment.

You are solely responsible for:

• maintaining device security
• securing your Apple account credentials
• controlling physical access to your devices
• managing backups and device-level security settings

You agree to use the App responsibly and in compliance with all applicable laws and professional obligations.

You may not use Textulater to:

• engage in unlawful activity
• harass, threaten, or harm others
• distribute illegal or abusive content
• impersonate another individual or entity
• distribute malware or malicious software
• interfere with platform functionality or security
• evade lawful disclosure, preservation, retention, or compliance obligations

You remain solely responsible for:

• all communications sent or received through the App
• determining whether the App is appropriate for your specific use case
• compliance with legal, ethical, organizational, and professional obligations

Privacy-focused communication tools must not be used to obstruct lawful investigations, legal obligations, or regulatory requirements.

Certain features or continued access to the App may require a paid subscription through Apple In-App Purchases.

Current subscription offerings may include:

• monthly subscription plans
• annual subscription plans

Subscription pricing may change at any time.

Payments, billing, renewals, cancellations, and refunds are processed and managed through Apple in accordance with Apple’s policies and terms.

Subscriptions automatically renew unless canceled through your Apple account settings before the renewal date.

Textulater LLC is solely responsible for providing maintenance and support for the App, where applicable.

Apple has no obligation to provide maintenance, support, or service for the App.

You acknowledge and agree that Apple Inc. and its subsidiaries are third-party beneficiaries of this Agreement.

Upon your acceptance of this Agreement, Apple will have the right to enforce this Agreement against you as a third-party beneficiary.

Textulater LLC, and not Apple, is responsible for addressing claims relating to the App, including:

• product liability claims
• claims regarding legal or regulatory compliance
• claims arising under consumer protection or privacy laws
• claims related to App functionality

In the event of a third-party claim alleging that the App infringes intellectual property rights, Textulater LLC will be solely responsible for the investigation, defense, settlement, and discharge of such claims.

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEXTULATER LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• SECURITY
• RELIABILITY
• DATA PROTECTION
• UNINTERRUPTED OPERATION

We do not warrant that:

• the App will always function without interruption
• features will always operate as intended
• communications will remain private or secure
• data exposure will never occur

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEXTULATER LLC SHALL NOT BE LIABLE FOR:

• unauthorized access to communications
• exposure of sensitive information
• failure of privacy-related features
• device compromise
• iCloud or Apple account compromise
• loss of data
• indirect, incidental, consequential, exemplary, or punitive damages
• legal, regulatory, financial, or reputational consequences arising from use of the App

Your use of the App is entirely at your own risk.

You agree to indemnify, defend, and hold harmless Textulater LLC and its affiliates, owners, employees, contractors, licensors, and representatives from any claims, damages, liabilities, losses, or expenses arising from:

• your use of the App
• your communications or content
• your violation of this Agreement
• your violation of applicable laws, regulations, or professional obligations

You represent and warrant that:

• you are not located in a country subject to a U.S. Government embargo
• you are not listed on any U.S. Government prohibited or restricted parties list
• your use of the App complies with applicable export control laws and regulations

Textulater LLC reserves the right to suspend, restrict, or terminate access to the App at any time, with or without notice, if:

• this Agreement is violated
• unlawful activity is suspected
• platform security or integrity may be compromised
• continued access may expose the platform or its users to risk

This Agreement shall be governed by and interpreted in accordance with the laws of the State of Missouri and the laws of the United States, without regard to conflict of law principles.

We may update this Agreement from time to time.

When changes occur, the updated version will be posted with a revised “Last Updated” date.

Continued use of the App after changes become effective constitutes acceptance of the updated Agreement.

This Agreement constitutes the complete and exclusive agreement between you and Textulater LLC regarding use of the App and supersedes any prior agreements or understandings relating to the Service.
